Terms of Service

By accessing or using TrueForm AI (“the Service”) — including through any web interface, API, or third-party integration — you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service. These Terms form a legally binding agreement between you and TrueForm OPC, a One Person Corporation registered under the laws of the Republic of the Philippines (“TrueForm,” “we,” “us,” or “our”).

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.

TrueForm AI is a cloud-based document digitization platform that allows users to upload images and PDF files, extract text using AI-powered recognition technology, and edit and export the resulting digital documents. The Service is offered on a subscription basis with a free tier and paid plans as described on our pricing page.

We reserve the right to modify or discontinue any feature of the Service. For material changes to core functionality, we will provide at least fourteen (14) days’ notice by email or in-app notification. Non-material modifications, bug fixes, and security updates may be made without prior notice.

No Service Level Agreement. We do not guarantee any specific level of uptime, availability, or performance. The Service is provided on a commercially reasonable efforts basis. We are not liable for any loss or damage resulting from downtime, service interruptions, or degraded performance.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when registering and keep that information current. You may not share, transfer, or sell access to your account.

Notify us immediately at support@trueformai.xyz if you suspect unauthorized access to your account. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than twelve (12) consecutive months, provided we send notice to your registered email address at least thirty (30) days before termination.

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

(a) upload content that is illegal, obscene, defamatory, or infringes any third-party intellectual property or privacy rights;

(b) upload documents containing personal data of third parties that you are not legally authorized to process;

(c) use the Service to process documents subject to sector-specific regulatory requirements — including but not limited to HIPAA (health data), PCI-DSS (payment card data), FERPA (education records), or equivalent regulations — without first notifying TrueForm in writing and obtaining our written consent;

(d) use automated scripts, bots, or other means to access the Service in a manner that exceeds normal human usage or places unreasonable load on our infrastructure;

(e) attempt to gain unauthorized access to any part of the Service, its infrastructure, or any other user’s data;

(f) resell, sublicense, or otherwise make the Service available to third parties without our prior written consent;

(g) reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service;

(h) use the Service in any manner that could expose TrueForm to civil or criminal liability.

You are solely responsible for ensuring you have the legal right to upload any documents you submit, including documents containing information about third parties. Violation of these provisions may result in immediate account suspension or termination, and may expose you to civil or criminal liability.

You retain all ownership rights to the documents you upload and the digitized output of those documents. By uploading documents, you grant TrueForm OPC a limited, non-exclusive, royalty-free license to process your documents solely to provide the Service to you. We do not claim ownership over your content.

TrueForm OPC retains all rights in the Service itself, including its software, algorithms, interfaces, brand, and all improvements and derivatives thereof.

Feedback. If you submit feedback, suggestions, feature requests, or ideas regarding the Service (“Feedback”), you grant TrueForm OPC a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback into the Service or any future products without any obligation or compensation to you.

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by the mandatory consumer protection laws of your jurisdiction. We do not issue refunds for partial billing periods, unused credits, or dissatisfaction with AI output quality or accuracy.

If a payment fails, we will notify you and provide a reasonable grace period before downgrading your account to the Free plan. Downgrading does not delete your documents. Price changes will be communicated at least thirty (30) days in advance. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

The Service relies on third-party infrastructure and AI providers, including but not limited to database, cloud hosting, and AI processing services. TrueForm OPC is not responsible for the availability, accuracy, security, or performance of any third-party services. Outages, errors, or data handling practices of third-party providers are outside our control. We will make commercially reasonable efforts to select reputable providers and maintain our service during third-party disruptions.

We contractually require our AI processing providers to handle your content solely for the purpose of providing the Service and to implement appropriate security measures. However, we do not guarantee any specific behavior of third-party services beyond what is contractually required of them.

Your uploaded documents are transmitted to third-party AI service providers for text extraction and processing. These providers process your content under confidentiality obligations and do not retain it after processing completes. We do not use your document content for purposes other than providing the Service to you. Please review our Privacy Policy for full details on how we handle your data.

Business Users. If you are a business that processes personal data of your own customers or employees through the Service, you may request a Data Processing Agreement (DPA) from us by contacting support@trueformai.xyz. The DPA governs our obligations as a data processor on your behalf.

The Service uses artificial intelligence to extract and process text from documents. AI-generated output may contain errors, omissions, or inaccuracies. The output is provided for informational and productivity purposes only and does not constitute legal, medical, financial, professional, or regulatory advice. You are solely responsible for reviewing all output before use, and TrueForm OPC is not liable for any decisions, actions, or consequences arising from your reliance on AI-generated output.

To the maximum extent permitted by applicable law, TrueForm OPC shall not be liable for any indirect, incidental, special, punitive, or consequential damages — including loss of profits, data, business, or goodwill — arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising from or related to these Terms or the Service shall not exceed the total fees paid by you to TrueForm OPC in the three (3) months immediately preceding the event giving rise to the claim.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law. The limitations above apply to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless TrueForm OPC and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your infringement of any third-party right, including intellectual property or privacy rights; or (e) any content you upload to the Service.

You may terminate your account at any time through Account Settings. Account deletion is immediate and permanent: once you confirm deletion, your documents and personal data are removed from our active systems right away and cannot be recovered. Because deletion cannot be undone, you should export any documents you wish to keep — using the in-app export feature — before you delete your account. Residual copies in our encrypted backups are purged within ninety (90) days.

We may suspend or terminate your account immediately if you violate these Terms, if required to do so by law, or if we reasonably believe continued access poses a risk to the Service or other users. Termination does not entitle you to a refund of any fees paid. Sections 5, 9, 10, 11, 13, 14, 15, 16, and 17 survive termination.

TrueForm OPC shall not be liable for any failure or delay in performance of its obligations under these Terms arising from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, pandemics, government actions, internet or infrastructure outages, third-party service provider failures, or cyberattacks. We will notify you of any such event and resume performance as soon as reasonably practicable.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution. Before initiating any formal dispute, you agree to contact us at support@trueformai.xyz with a written description of the dispute and your desired resolution. The parties will attempt to resolve the dispute informally for thirty (30) days before proceeding to arbitration.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by final and binding individual arbitration. The arbitration shall be conducted in the English language. The arbitrator’s decision shall be final and binding and may be enforced as a court judgment in any jurisdiction.

CLASS ACTION WAIVER. YOU AND TRUEFORM OPC EACH AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE PROCEEDING AGAINST THE OTHER.

Exceptions. This arbitration agreement does not apply to: (a) claims for injunctive or equitable relief to protect intellectual property rights; (b) small claims court actions within applicable jurisdictional limits; or (c) users residing in jurisdictions where arbitration agreements of this type are unenforceable under mandatory applicable law, including users in the European Union and European Economic Area, who may bring claims in the courts of their country of residence.

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict of law principles. We make no representation that the Service is appropriate or available in all jurisdictions. Users are responsible for compliance with local laws applicable to their use of the Service. Nothing in these Terms limits any rights you may have under the mandatory laws of your country of residence.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. If the class action waiver in Section 14 is found unenforceable in a particular proceeding, the arbitration agreement shall not apply to that proceeding, which shall be resolved in a court of competent jurisdiction.

Entire Agreement. These Terms, together with the Privacy Policy and any applicable order form or subscription agreement, constitute the entire agreement between you and TrueForm OPC regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings.

Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. TrueForm OPC may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of our assets, provided we give you thirty (30) days’ prior notice. Any assignment in violation of this section is void.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and TrueForm OPC.

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice within the Service at least fourteen (14) days before they take effect. Your continued use of the Service after that date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
